Acceptance of terms
By accessing or using services provided by Hermetica, including our website and related software, tools, or services (collectively, the “Services”), you agree to these Terms of Service. If you do not agree, you may not access or use the Services.
Description of services
Hermetica is an institutional judgment system for investment firms. It connects structured and unstructured evidence across a firm and returns source-grounded intelligence for underwriting, monitoring, portfolio review, company-history analysis, and investment-committee work.
User accounts and access
Where an account or access credentials are required, you agree to:
- Provide accurate and complete information.
- Keep credentials secure and not share them with unauthorized parties.
- Promptly notify us of unauthorized account use.
- Accept responsibility for activity that occurs under your account.
Acceptable use
You agree not to use the Services to:
- Violate applicable laws, regulations, or third-party rights.
- Transmit malicious code, viruses, or harmful data.
- Attempt unauthorized access to systems or accounts.
- Reverse engineer, decompile, or disassemble the Services except where the law permits.
- Damage, disable, or impair our infrastructure.
Intellectual property and customer data
Hermetica and its licensors own the intellectual property in the Services, including software, algorithms, designs, trademarks, and documentation. These Terms grant only the limited right to use the Services as agreed.
You retain your rights in customer data. You grant us a limited right to access and process that data solely as necessary to provide the Services and as set out in the applicable agreement.
Confidentiality
Each party will protect the other party's confidential information and use it only for the agreed purpose. This obligation does not apply to information that is public through no breach, independently developed, or lawfully received without restriction.
Data processing and control
We process data in accordance with our Privacy Policy and the applicable agreement. Hermetica is designed to deploy into a customer's environment, work with data where it already lives, preserve source connections, and keep the customer's team in control.
Availability and service levels
Service levels, support commitments, data retention, and planned maintenance are governed by the applicable order form or service agreement. We may suspend access where reasonably necessary for maintenance, security, legal compliance, or circumstances outside our reasonable control.
Limitation of liability
To the maximum extent permitted by law, Hermetica will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Services. Any additional limitations are set out in the applicable agreement.
Indemnification
You agree to indemnify and hold harmless Hermetica and its officers, directors, employees, and agents from claims, damages, losses, or expenses arising from your breach of these Terms or misuse of the Services, to the extent permitted by law.
Termination
Termination rights and post-termination data handling are governed by the applicable agreement. We may suspend or terminate access for a material breach, unlawful use, or a risk to the Services or other users.
Changes to these terms
We may update these Terms from time to time. Material changes will be communicated by posting the revised Terms and updating the date above, or by another method required by the applicable agreement or law.
